The Central Register of Beneficial Beneficiaries (abbreviated to CRBR in Poland) is a system launched on October 13, 2019 in accordance with the AML/CFT Law of March 1, 2018. The CRBR is a registry that is open to the public and free of charge for everyone. It stores information on the beneficial owners of entities (as per Article 58 of the Law) and on individuals (as per Article 61(1)).

What is the central beneficial ownership register?

The Central Register of Beneficial Beneficiaries (CRBR) is a public database that collects information on individuals who exercise direct or indirect control over a business. A beneficial owner is a person who cannot hide his or her identity and can exert some influence over the actions taken by the company. The data contained in the registry is provided free of charge electronically through an API. The CRBR was established to prevent money laundering and terrorism financing, and the body responsible for overseeing the registry in Poland is the Ministry of Finance.

What can you find in the register?

The register contains an inventory of the real beneficiaries of a given entity. According to the law, persons who are beneficial owners are:

  • Shareholders who hold at least 25% of the total number of shares in a given company
  • Natural persons who hold more than 25% of the total number of votes in the company’s board of directors or management board
  • Natural persons who control a company or companies with a combined ownership of more than 25% of the total number of shares.

What type of data can you find in the register?

Companies are legally obliged to report the following to CRBR:

Data about the business:

  • Headquarters address
  • Name (business name)
  • Type of organisation (for example, limited partnership)
  • Tax identification number (abbrev. NIP)
  • Number in the National Court Register

Data of beneficial owners and natural persons representing the entity:

  • Name and surname
  • Nationality
  • Country of residence
  • PESEL number (or date of birth for persons without PESEL)
  • Information on the size and nature of the shareholding or rights held by the beneficial owner.
